1.        Background

 

1.    These terms define the relationship between you and TSS (as defined below). Please read all of the following terms and conditions of service (this “TOS”) carefully before registering for, attending and/or participation in the outreach event (the “Outreach”) for the Temasek Youth Challenge (the “Challenge”) organised in conjunction with Temasek Capital Management Pte. Ltd. (“Temasek”), and/or using any of our services in relation to the Outreach (the “Services”). By registering for and/or attending the Outreach through this website (“this site”), you confirm that you accept this TOS and that you agree to comply with them. When we refer to “TSS”, “we”, “us” “our”, we refer to The Simple Sum Pte. Ltd. and where applicable, its affiliates, whereby the term “affiliate” with respect to a party hereto shall mean any person or entity that controls, is controlled by, or is under common control with, such party (with “control” meaning the ability to control via board control, equity ownership, contract or otherwise).

 

2.    The Outreach Privacy Policy also applies to your registration for, attendance of and/or participation in the Outreach and is incorporated into this TOS by reference.

 

3.    In addition, by continuing to use this site, you agree to be bound by the Terms of Service (including the Privacy Policy) of this site. In the event of any conflict, inconsistency or ambiguity between this TOS and the Terms of Service of this site, the terms of this TOS shall prevail.

 

2.        Registration, Attendance and Participation

 

1.    The registration details of each participant to the Outreach must be registered with us not less than 1 day before the start of the Outreach. We reserve the right to exclude from the Outreach any individual whose name does not appear on our register of participants at the start of the Outreach.

 

2.    You must provide us with accurate and complete registration details. It is your responsibility to inform us of any changes to that information (including, without limitation, your email address).

 

3.    We will not be able to accommodate any special access or dietary requirements.

 

4.    By attending the Outreach you acknowledge that photographs and filming may take place at the Outreach. Subject to and in accordance with the terms of the Outreach Privacy Policy, we expressly reserve the right to use images and videos recorded at the Outreach with your photograph, recording and/or likeness in future marketing materials (including social media channels, websites, and print material) and to transmit such photograph, recording and/or likeness to Temasek and our respective affiliates, without obtaining any further approval from you or making any payment to you. If you do not wish your photograph or recordings to be taken at the Outreach, please notify the photographer(s) and/or videographer(s) during the Outreach and we will use reasonable endeavours to comply with your request.

 

5.    When attending the Outreach, you shall observe the rules, policies and procedures of the Outreach’s event venue (including in relation to health and safety and any reasonable instructions issued by us and/or the management of the event venue, and behave in a respectful and appropriate way that does not breach the applicable laws or that risks bringing the Outreach, TSS or Temasek into disrepute. We reserve the right to evict any participant(s) whose conduct is disorderly or inappropriate or who poses a threat to security or to the overall enjoyment of the Outreach as determined by us in our sole discretion.

 

6.    At the Outreach, we may offer participants the opportunity to join the Challenge, in which case specific Terms of Service for such Challenge (“Challenge Terms”) may apply. Such Challenge Terms shall be contained in the materials provided to you when you register for the Challenge and shall apply in addition to this TOS. If there is any inconsistency between this TOS and any Challenge Terms, the Challenge Terms shall take precedence in relation to the Challenge.

 

3.        Changes, Modifications and Suspensions

 

1.    We operate this site and organise the Outreach at our sole discretion and shall have the right to change, modify or suspend any aspect or feature of this site, the Outreach and/or any Services, in whole or in part, at any time and there shall be no recourse or liability against TSS, Temasek or their respective affiliates. Notwithstanding any terms or conditions to the contrary in this TOS, to the extent allowed under law, these changes, modifications or suspensions may be effective any reason whatsoever upon notice, which may be done by posting on this site, email or otherwise. Without prejudice to the above, your attendance and/or participation in the Outreach after such change, modification or suspension will constitute deemed agreement to thereto.

 

2.    All registrations to the Outreach are subject to the availability and any seat availability information is subject to change without notice to you. We reserve the right to refuse any registrations we receive for any reason at our sole discretion.

 

3.    Without prejudice to the above, in the event that the Outreach is cancelled, we shall give notice of cancellation to you by posting on this site, email or otherwise as soon as reasonably practicable.

 

4.        Intellectual Property Rights

 

1.    We are the owner, the licensee or have the permissions of the relevant owners or licensees of all intellectual property rights in relation to the Challenge, the Outreach and in this site, including but not limited to text, content, photographs, video, audio, graphics, user interface design or logo, net domain names, specifications, know-how, service marks, ethical or moral rights hereon, the material published on this site, and/or any parts of the Services (whether or not registered as well as all rights to use for registration). All such rights are reserved. You agree to abide by all applicable copyright and other laws, as well as any additional copyright notices or restrictions contained on this site.

 

2.    Nothing in this TOS or your use of this site grants you any ownership or rights in this site, the Services, the content or information made available through the Services, or any of our trademarks, trade names, service marks, copyrights, or logos, except as expressly provided for under this TOS. TSS reserves the right to investigate notices of copyright, trademark and other intellectual property infringement in relation to the Challenge, the Outreach and/or this site and take appropriate action. 

 

3.    In particular, without our prior consent in writing, you must not directly or indirectly use any of the trademarks, trade names, service marks, copyrights, or logos of TSS, Temasek or their respective affiliates in any manner which creates the impression that such items belong to or are associated with you or are used with TSS’ and/or Temasek’s consent, and you acknowledge that you have no ownership rights in and to any of such items.

 

5.        No Warranty

 

1.    To the extent under applicable law, TSS: (a) does not warrant and disclaims all implied warranties and representations (for example warranties of merchantability, fitness for a particular purpose, accuracy of data, and non-infringement); (a) does not guarantee that the Outreach, this site or any Services will function without interruption, errors or omissions; and (c) provide the Outreach, this site and all Services (including content and information) on an “as is” and “as available” basis.

 

2.    TSS makes no warranty of any kind, express or implied, as to the Outreach, this site and any Services, including, but not limited to, non-infringement, non-infringement of third party rights, title, any implied warranties or merchantability or fitness for a particular purpose or use.

 

3.    The content in the Outreach, on this site and in relation to any Service is provided for general information only. It is not intended to amount to advice (whether investment, accounting, legal, tax or other advice) on which you should rely. You must, at all times, obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on this site. Any financial or investment information on this site are for use in Singapore only and are intended for your general information only. You should not rely upon such information in making any particular investment or other decision which should only be made after consulting with a fully qualified financial adviser. Although we make reasonable efforts to update the information on this site, we make no representations, warranties or guarantees, whether express or implied, that the content on this site is accurate, complete or up to date. Any use you make of the information provided in the Outreach, on this site or in relation to any Service is entirely at your own risk and we will not be liable for any damages or losses (including any loss of data or profits) resulting from such use.

 

4.    Any expressions of opinion, estimates and projections provided in the Outreach, on this site or in relation to any Service are those of the panellists, authors or such other person at the date of presentation, writing or communication, and are subject to change at any time without prior warning. They do not necessarily reflect our view. All information marked with any date is published as of such date only. There is no obligation or responsibility is undertaken to update or amend any such information.

 

6.        Limitation of Liability

 

1.    You agree that your attendance of and/or participation in the Outreach and the Challenge in general, and/or the use of any Service is at your sole risk and acknowledge that these are provided “as is” and “as available”.

 

2.    To the fullest extent permissible by law, TSS, Temasek and their respective affiliates shall not be liable and shall assume no liability for any losses, damages or expense of any kind howsoever caused as a result of your attendance of and/or participation in the Outreach and the Challenge in general, and/or the use of the Services, or your inability to do so, including any loss or damages suffered in connection with this TOS.

 

3.    You agree that in no event shall TSS, Temasek or their respective affiliates be liable to you for any damages, losses, expenses, liabilities under any causes of action (whether in contract or tort including, but not limited to negligence, or otherwise) caused through your attendance of and/or participation in the Outreach and the Challenge in general, and the use of the Services (or the inability to do any of the above). In the event that TSS, Temasek or their respective affiliates are liable for damages despite the foregoing provision, you agree that TSS’, Temasek’s and their respective affiliates’ aggregate liability to you for any and all causes of action shall not exceed in aggregate of S$50.00.

 

4.    To the fullest extent permissible by law, under no circumstances, including but not limited to negligence, shall TSS, Temasek or their respective affiliates, and any of their suppliers, agents, directors, officers, employees, representatives, partners, successors, or assigns be liable to you for direct, indirect, incidental, consequential, special, punitive, or exemplary damages even if such damages were foreseeable or TSS and/or Temasek have been advised specifically of the possibility of such damages, arising from your attendance of and/or participation in the Outreach and the Challenge in general, and the use of the Services (or inability thereof), such as, but not limited to, loss of revenue or anticipated profits or lost business.

 

5.    Nothing in this TOS shall limit or exclude our liability for death or personal injury, fraud or fraudulent misrepresentation; or any other liability which cannot be limited or excluded under applicable laws.

 

7.        Indemnity

 

1.    You agree, at your own expense, to indemnify, defend and hold harmless TSS, Temasek, their affiliates, and all of their suppliers, agents, directors, officers, employees, representatives, partners, successors, and assigns from and against any and all claims, damages, liabilities, costs, and expenses, including legal costs and expenses, including any other professional fees, arising out of or in connection with the Outreach, the Challenge, this site and/or any Services, directly or indirectly including without limitation a violation or alleged violation of this TOS by you or anyone using your computer (or account, where applicable) including any breach of any covenant or agreement to be performed by you hereunder.

 

2.    TSS and Temasek reserve the right to all remedies available at law and in equity. You agree to pay any and all costs, damages, and expenses, including, but not limited to, all legal fees and costs awarded against or otherwise incurred by or in connection with or arising from any such claim, suit, action, or proceeding attributable to any such claim. TSS and Temasek reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with TSS and Temasek in asserting any available defence. You acknowledge and agree to pay our legal fees and expenses incurred in connection with any and all lawsuits brought against you by TSS or Temasek under and in connection with this TOS, the Outreach Privacy Policy and any other terms and conditions of service on this site, including without limitation, lawsuits arising from your failure to indemnify TSS and/or Temasek pursuant to this TOS.

 

8.        Assignment

 

1.    You may not assign, novate or otherwise transfer any of your rights or obligations under or in connection with this TOS to any party.

 

2.    We may assign, novate or otherwise transfer our rights and obligations under or in connection with this TOS to another party. We may also delegate or sub-contract any obligations under this TOS. Notwithstanding the above, we will inform you if any of these happen and will ensure that such assignment, novation, transfer, delegation or sub-contract will not have a material adverse effect on your rights under this TOS.

 

9.        Governing Law and Jurisdiction

 

1.    This TOS shall be governed and construed in accordance with the laws of Singapore (including the Evidence Act 1893 of Singapore and the Electronic Transactions Act 2010 of Singapore, both as may be amended from time to time), without regard to any conflict of law provision. The courts of Singapore shall have exclusive jurisdiction to hear and determine any suit, action or proceeding, and to settle any disputes (the “Disputes”) which may arise out of or in connection with this site or this TOS or the Privacy Policy (including any dispute regarding the existence, validity or termination of this TOS or the Privacy Policy respectively), and for such purposes, you agree to submit to the jurisdiction of the courts of Singapore. Each party hereby waives any objection which it might at any time have to the courts of Singapore being nominated as the forum to hear and determine any proceedings and to settle any disputes. Notwithstanding the above, TSS shall not be prevented from taking proceedings relating to a Dispute in any other courts with jurisdiction. To the extent allowed by law, TSS may take concurrent proceedings in any number of jurisdictions.

 

2.    Notwithstanding the above, you are responsible for complying with the laws of the jurisdiction from which you are accessing this site, and you agree and confirm that you will not access or use the information on this site in violation of such laws. You also agree that our failure to enforce any rights under this TOS will not constitute any waiver of any terms or conditions in this TOS.

 

10.    Miscellaneous

 

1.  Except as expressly stated otherwise in this TOS (such as in relation to Temasek or the affiliates of TSS or Temasek), an individual or a corporate entity who is not a party to this TOS shall have no right under the Contracts (Rights of Third Parties) Act 2001 of Singapore, as may be amended from time to time, to enforce any term or condition of this TOS.

 

2.  If any provision of this TOS is unlawful, invalid or unenforceable, this shall not affect the rest of the terms and conditions under this TOS.

 

3.  To the extent permissible by law, any claim or cause of action arising out of or related to use of this site, under this TOS or in connection with the Services, these must be filed within 1 year after such claim or cause of action arose or be forever barred.

 

4.  This TOS constitutes the entire agreement between us and you with respect to the Outreach.

All questions, feedback and other suggestions submitted will be treated as non-confidential and non-proprietary and may be disclosed or used by TSS and/or Temasek in their discretion, without any obligation to compensate you.

 

12.    Updates

 

1.  This TOS may be updated from time to time and changes to this TOS take effect when they are posted on this site or otherwise communicated to you via the email address provided at the point of registration for the Outreach. Your attendance and/or participation in the Outreach or the Challenge in general constitutes your acknowledgement and acceptance of such changes. We shall not be responsible or liable to you for any expense, loss, damage, liability or other consequence suffered by you or incurred by you in connection with any of the foregoing actions.
